1. Acceptance of Terms

Welcome, and thank you for your interest in Zyra.ai, a service provided by Carolina Texas Data Group Ltd. Co ("Cartex Data," "we," or "us"). These Terms of Service ("Terms") are a legally binding contract between you and Cartex Data regarding your use of the Zyra.ai platform, website, mobile applications, and related networks (collectively, the "Service").

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the amended Terms on this page and updating the "Effective Date." Your continued use of the Service after changes become effective constitutes your binding acceptance of such changes.

BY ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICE.

2. Service Overview & Modifications

The Service provides automated artificial intelligence tools to record, transcribe, summarize, and analyze voice conversations, academic lectures, and uploaded media files (including direct URL processing).

Service Modifications. Cartex Data reserves the right to modify, suspend, or discontinue the Service (or any feature or part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, except that if we permanently discontinue the Service, we will provide a prorated refund for any pre-paid, unused subscription periods.

3. Eligibility & Registration

3.1 Eligibility. You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 13 years of age, have not been previously suspended from the Service, and will comply with all applicable local, state, and federal laws.

3.2 Account Registration. To utilize core features—including deploying live meeting bots and generating study guides—you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

3.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials. You accept responsibility for all activities that occur under your account. If you believe your account has been compromised, you must immediately notify us at support@cartexdata.com. We reserve the right to terminate accounts that are suspected of being compromised or used for malicious purposes.

4. Subscriptions, Billing & Refunds

4.1 Paid Plans. Zyra offers premium features via "Plus" and "Business" subscription tiers. By selecting a paid tier, you agree to pay Cartex Data the recurring monthly or annual subscription fees indicated at the time of purchase.

4.2 Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel your subscription through your account dashboard prior to the renewal date.

4.3 Free Trials. If you enroll in a 30-day free trial, you will not be charged until the conclusion of the trial period. If you cancel prior to the end of the 30 days, your account will be downgraded to the Basic (free) tier and you will not be billed.

4.4 Refunds. Except as required by law or as explicitly stated by Cartex Data, all subscription fees are non-refundable. We do not provide prorated refunds for partial months or years of service if you choose to cancel early.

5. Data Privacy, AI & Ownership

Cartex Data fundamentally respects your privacy and the sensitive nature of your recordings, whether they are corporate strategy meetings or private academic lectures.

• Consent to Record: You represent and warrant that you have obtained all necessary consents, permissions, and authorizations required by applicable two-party or all-party consent laws before deploying Zyra.ai to record any individual or meeting.

• No Sale of Data: We will never sell, lease, rent, or trade your personal information, audio recordings, or generated transcripts to any third-party data broker or advertising network.

• User Ownership: You retain all copyright and proprietary rights to the User Content (audio, video, text) you process through the Service.

• License to Process: By uploading or recording content, you grant Cartex Data a limited, secure license strictly to host, process, and analyze your content solely for the purpose of providing the Service back to you.

• Zero Public Training: We do not use your private, identifiable recordings to train public-facing Large Language Models (LLMs) that could expose your intellectual property.

6. Third-Party Integrations

Zyra.ai integrates with third-party platforms such as Google Workspace, Microsoft Outlook, Zoom, and Slack to provide seamless automation.

Your use of these third-party integrations is governed by their respective Terms of Service and Privacy Policies. Cartex Data is not responsible for the availability, uptime, or functionality of any third-party service. If a third-party service revokes our API access, certain features of Zyra.ai may be degraded or suspended without constituting a breach of these Terms.

7. Prohibited Conduct

By using the Service, you explicitly agree not to:

1. Use the Service for any illegal purpose, or in violation of any local, state, national, or international privacy laws.
2. Deploy the recording bot into meetings where you are not an authorized participant or lack the required consent to record.
3. Harass, threaten, demean, or otherwise harm any other user or meeting participant.
4. Reverse engineer, decompile, or attempt to discover the source code, proprietary transcription algorithms, or AI prompts underlying the Zyra.ai platform.
5. Interfere with or disrupt the security features of the Cartex Data infrastructure, including uploading malicious code or initiating automated scraping, crawling, or DDoS attacks.
6. Bypass or attempt to bypass any rate limits, transcription minute caps, or tier restrictions imposed on your account.

8. Intellectual Property

The visual interfaces, graphics, design, compilation, information, computer code (including source code and object code), machine learning models, and all other elements of the Service are protected by United States copyright, trade dress, patent, and trademark laws. All materials contained within the Service are the exclusive property of Carolina Texas Data Group Ltd. Co. "Zyra.ai" and "Cartex Data" are trademarks of Carolina Texas Data Group Ltd. Co. You may not use our branding, logos, or design elements without our express written consent.

9. Disclaimers & AI Warranties

The service, and all materials and content available through the service, are provided "As Is" and on an "As Available" basis. Cartex Data disclaims all warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Cartex Data does not warrant that the service will be uninterrupted, completely secure, or free of errors.

AI Hallucinations and Accuracy:

You acknowledge that Zyra.ai relies on artificial intelligence, machine learning, and automated speech recognition. These systems are inherently probabilistic. Transcripts, summaries, action items, and answers provided by the Studio AI may contain inaccuracies, omissions, or "hallucinations." You are solely responsible for reviewing, verifying, and validating the accuracy of all output generated by Zyra.ai before relying on it for academic, professional, legal, or medical purposes.

10. Limitation of Liability

To the fullest extent permitted by law, in no event will Carolina Texas Data Group Ltd. Co, its affiliates, officers, or directors be liable to you for any indirect, incidental, special, consequential, or punitive damages (including damages for loss of profits, goodwill, or data) arising out of or relating to your access to or use of the service. In no event shall the aggregate liability of Cartex Data exceed the greater of one hundred U.S. Dollars ($100.00) or the amount you paid Cartex Data in the past six (6) months for the service.
